Companies (Registration Offices and fees) Amendment Rules, 2014

The MCA has amended the Companies (Registration offices and fees) Amendment Rules,2014 and specifies e-forms which need pre-certification by CA or CS or CMA.

These rules shall come into force w.e.f 28 th April 2014

Pre-certification of e-forms by CA or CS or CMA:

The following e-forms filed by the company other than OPC and small companies, shall be pre-certified by the CA or the CS or as the case may be the CMA, in whole –time practice.

7	CHG-4	Particulars for satisfaction of charge thereof
8	CHG-9	Application for registration of creation or modification of charge for debentures or rectification of particulars filed in respect of creation or modification of charge for debentures
9	MGT-14	Filing of Resolutions and agreements to the Registrar
10	DIR-6	Intimation of change in particulars of Director to be given to the Central Government
11	DIR-12	Particulars of appointment of Directors and the key managerial personnel and the changes among them
12	MR-1	Return of appointment of MD/WTD/Manager
13	MR-2	Form of application to the Central Government for approval of appointment or reappointment and remuneration or increase in remuneration or waiver for excess or over payment to managing director or whole time director or manager and commission or remuneration to directors
14	MSC-1	Application to Registrar for obtaining the status of dormant company
15	MSC-3	Return of dormant companies
16	MSC-4	Application for seeking status of active company
17	GNL-3	Details of persons/directors/charged/specified
18	ADT-1	Notice of appointment of auditor by the company
19	NDH-1	Return of Statutory Compliances
20	NDH-2	Application for extension of Time
21	NDH-3	Half Yearly Return

Other Pre-certification:

5	DIR-3	Application for allotment of Director Identification Number	CA or CS or as the case may be CMA, in whole-time practice.

Centralised Electronic Registry:

'The Central Government  shall set up and maintain a secure centralised electronic registry in which all the applications, financial statement, prospectus, return, register, Memorandum articles, particulars of charges, or any particulars or returns or any other documents under the Act shall be filed and stored electronically.
